SUMMARY: Agreement on transfer of title to a property as security is a method of securing repayment of debt and one that is very favourable for creditors. As a result of such agreement, the creditor becomes owner of the property or properties before its claim becomes due and thus the creditor may have its claims covered when a need arises, without initiating a time consuming and costly procedure. The implementation of Article 3871 of the Civil Code will certainly prevent the most excessive abuse. However, it is postulated that further regulations concerning agreements on transfer of title to a property as security be implemented. Such agreement should have an accessory nature – that is, when the agreement underlying the related pecuniary obligation is found invalid, this should also invalidate the agreement on transfer of title, obliging the creditor to re-transfer the title to the property. Additionally, the creditor should be entitled to raise an allegation of seizure until its claims under unjustified enrichment are satisfied. The issue of regulating the method of satisfying the creditor from the property whose title has been transferred is a very important matter. The matter is of such importance that it should not be left to the contractual discretion of the parties. As a minimum, a framework should be established within which the creditor may get satisfaction from the transferred property.
